Siitch, Inc. Terms of Service

Welcome to Siitch. These Terms of Service govern your use of Siitch, our website located at https://www.siitch.com, and any related services provided by Siitch, Inc.

Terms of Use like Privacy Policies can be very long, use fancy words, and can be, well… LEGAL. Here's a quick summary. We hope this makes it a little easier to understand. Of course, the summary doesn't replace everything that follows. If you have any questions, please just let us know.

Summary:

FOR THE BETA APP & LESSON PLANS

• The BETA app is a prototype available only through Apple’s testing platform, Testflight. Testflight allows users to test beta versions of apps before they are released on the App store.

• The app is not available on Android devices at this time, nor does it work on tablets or the web.

• There is no cost, and should be considered “as is.”

• Each build is available to test for up to 90 days, starting from the day we upload each build. You can see how many days you have left for testing under the app name in TestFlight. TestFlight will notify you each time a new build is available and will include instructions on the recent updates.

• Invitations to the app will be emailed to you via Testflight to the email you provide. Once you download the Testflight app, you will be able to download the Siitch app.

• Invitations to access the lesson plans will be emailed and shared to the email you provide. We also ask for information such as what grades and subjects you teach, and school type. We ask these questions to better understand our audience, and to help tailor future content to make things, well… better.

• As we’re in BETA, we have a limited number of testing spots available. Invitations will be sent on a first-come, first-served basis. At this time, we are looking to have around 500 people try the app, and a much smaller number of teachers try the app and lesson plans in their classrooms with their students.

• Because of this limited number, unfortunately not every request to try the app and/or lesson plans will be granted.

• We reserve the right, however, to grant invitations to whom we choose for testing purposes. For example, to an interested school so we can learn from a targeted cohort.

• If you request to try either the app or lesson plans and you do not receive an email from us, that means a) we have reached our max b) we will let you know when more testing spots are available, or c) when the service is live on the App Store.

• As the BETA app is pre-release software, it may contain bugs, errors, and design flaws, and is not expected to function fully.

• We reserve the right to cancel or modify the BETA test at any time, including the possibility of increasing or decreasing the number of available slots.

When you use Siitch, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from further using the app, accessing our website, or using any other services provided by Siitch, Inc.

If you access or download Siitch from Apple App Store you agree to any Usage Rules set forth in the App Store Terms of Service.

We, Siitch, Inc., reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page and notify you through the app and/or the email address you provided. Any changes to these Terms of Service will take effect immediately from the date of publication.

Limitations of Use

By using Siitch and our website, you warrant on behalf of yourself, any entity who you represent who has entered into these Terms of Service, and your users that you will not:

• modify, copy, prepare derivative works of, decompile, or reverse engineer Siitch or any materials and software contained within Siitch or on our website;

• remove any copyright or other proprietary notations from Siitch or any materials and software contained within Siitch or on our website;

• transfer Siitch or any of its associated materials to another person or "mirror" the materials on any other server;

• knowingly or negligently use Siitch or any of its associated services in a way that abuses or disrupts our networks or any other service Siitch, Inc. provides;

• use Siitch or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;

• use Siitch or its associated services in violation of any applicable laws or regulations;

• use Siitch to send unauthorized advertising or spam;

• harvest, collect, or gather user data without the user’s consent; or

• use Siitch or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Intellectual Property

The intellectual property in the materials in Siitch and on our website are owned by or licensed to Siitch, Inc.. You may download Siitch to view, use, and display the application on your mobile device for your personal use only.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or these Terms of Service and may be terminated by Siitch, Inc. at any time.

Automatic Updates

You give us permission to download and install updates to Siitch on your device in accordance with your privacy preferences. This permission can be revoked at any time by deleting Siitch from your device.

Liability

Siitch and the materials in Siitch and on our website are provided on an 'as is' basis. To the extent permitted by law, Siitch, Inc. makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall Siitch, Inc. or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use Siitch, our website, or any other services provided by Siitch, Inc. or the materials in Siitch, even if Siitch, Inc. or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Accuracy of Materials

The Siitch database, the app, website and lesson plans contain a combination of information sourced from numerous publicly available sources. We do not guarantee the accuracy, completeness, or usefulness of any information. The materials appearing in Siitch or on our website, and the lessons are not comprehensive and are for general information purposes only. To the extent permitted by law, Siitch, Inc. does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials in the Siitch app, website or lessons, or otherwise relating to such materials or on any resources linked to Siitch and our website. We make no warranty that you will obtain specific results from use of the Services. 

Not Medical Advice

Any and all services provided by, in and/or through our Services (including but not limited to Content) are for informational purposes only. Siitch, Inc. is not a medical professional, and we do not provide medical services or render medical advice. Nothing contained in our Services should be construed as such advice or diagnosis. The information and reports generated by us should not be interpreted as a substitute for physician consultation, evaluation, or treatment, and the information made available on or through the Services should not be relied upon when making medical decisions, or to diagnose or treat a health condition or illness. Your use of the Services does not create a doctor-patient relationship between you and Siitch, Inc.

Siitch, Inc. provides links to third party websites on its app, website and lesson plans. We are not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval or control by Siitch, Inc. of the site. Use of any such linked website is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

Notice regarding Apple

To the extent that you are using or accessing Siitch on an iOS device, you acknowledge and agree to the terms of this clause. You acknowledge that these Terms of Service are between you and Siitch, Inc. only, not with Apple Inc. (Apple), and Apple is not responsible for Siitch and any

materials available in Siitch.

Apple has no obligation to furnish you with any maintenance and support services with respect to Siitch.

If Siitch fails to conform to any applicable warranty, you may notify Apple. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Siitch and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be our responsibility.

Apple is not responsible for addressing any claims by you or any third party relating to Siitch or your use of Siitch, including but not limited to (1) product liability claims; (2) any claim that our mobile application fails to conform to any applicable legal or regulatory requirement; and (3) claims arising under consumer protection or similar legislation.

Apple is not responsible for the investigation, defense, settlement and discharge of any third-party claim that our mobile application infringes that third party’s intellectual property rights.

You agree to comply with any applicable third-party terms when using Siitch, including any Usage Rules set forth in the Apple App Store Agreement of Service.

Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms of Service and, upon your acceptance of these Terms of Service, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms of Service against you as a third-party beneficiary of these Terms of Service.

You hereby represent and warrant that (1) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a 'terrorist supporting' country; and (2) you are not listed on any U.S. Government list of prohibited or restricted parties.

Right to Terminate

We may suspend or terminate your right to use Siitch and these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Delaware. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
